files and print on machine with 98SE.Machine with 98SE is
wired to base station when attempts are made to access the
files on the machine with 2000PRO,98SE machine prompts for
password to enter the network,prompt does show the
networked resource laptop name.Does there have to be some
sort of password on 2000PRO to access the files.

Create a user with identical username/password on both computers. Log into
the win98 computer with that user account. Win2k shares will then be
visible.

If you are on a system where you don't care about the password
protection you could:
right click my computer, left click manage, left click the plus sign
for local users and groups, left click users, go to the right pane and
right click guest, left click properties remove the check mark from
the box next to account is disabled, click apply.
Now anyone on your network can get into and see anything shared on the
Win2000 computer.
