Installing clean upgrade

My computer has two hard drives: one has 98se installed with many programs
and files, the other is empty. Can I install a clean upgrade to XP on the
empty drive using an upgrade CD and then copy needed files from the other
(98se) drive?

The phrase "clean upgrade" is an oxymoron. By nature, an "upgrade" is
not on an empty partition, as a "clean" install is.

Use the XP Upgrade disk to make a "New" installation instead, and
point the installer to the empty partition. Note that the XP
installer will place the boot files for XP in the "C:\" folder of the
old drive. The installer will also set up a boot menu giving you a
choice of which OS to boot if you have an OS on the old drive.

Don't forget to copy the XP boot files to the new drive BEFORE you
format the old drive. You will also have to change boot.ini to
reflect the changes.

Yes as long as you have the CD for a qualifying product for the upgrade.
