installation help needed!!!

i have windows ME on a gateway computer and it was on it
when i bought the computer. i also have the restore disks.
i try to install a new copy of windows xp home and it
says "D:\I386\WINNT324.DLL is corrupted or cannot be
opened. setup cannot finish". then it will not go anywhere
from there becuase it freezes my computer. i tried to
reboot with the cd in and it said it doesnt recognize a
previous version of windows installed and it asked for a
cd of windows so i put the restore disk of the Windows ME
and it doesnt recognize it.. this is where im stuck.
please help. thanks
 
Try booting with a boot disk and running the cd from there. If that doesn't work maybe you should think about reformatting and doing a fresh install of XP

Gateway may have installed proprietary software to preclude you from
updating their version to a Microsoft version. Check their web site for any
comments about upgrading from ME to XP home.
