Install FW 1.1 on Win2k Server sp3

Not able to install MS Framework 1.1 Redistrabution on a
new Windows 2000 Server with SP 3. This machine does not
have IIS installed. Right after I agree to the EULA a
message
"The system cannot open the
device or file specified.
Internal Error 2755. 110, C:\DOCUME~1\axxx\LOCALS~1
\Temp\IXP000.TMP\netfx.msi"

is displayed and the installation ends. I have tried this
install from several sources (msdn & VS.net 2003 Prep
disk).

The dotNetFx.log has this error:
Calling MsiInstallProduct() with commandline:
REBOOT=ReallySuppress IIS_NOT_PRESENT=1

MsiInstallProduct() returned 1603

Do I need IIS installed even though it is described as
optional?
Are there special conditions or prerequisits required for
installation on WIN2k?

Whats going on?

I once tried to install .NET 1.1 on Windows XP Pro without IIS. I couldn't
make it until I installed IIS along with FrontPage Server Extensions.
