How do I set up Out of Office Msg no server attached

I have Windows XP with Office 2002. I am trying to attach an out of office
message through rules wizard but it is not allowing me to amend a previous
template that is on system to show updated details.
 
Nothing it keeps defaulting to "program Files\microsoft
office\templates\1033\mail.oft" but it won't allow me to open this file or
edit it

That location shouldn't be used to store your custom templates nor should
you modify any files in that location.

Create a new message with Outlook set as you email editor and after you
finished composing it, choose File-> Save As...
Now you can save it as an oft-file which you can use in your rules.
You can store it in the per-user Templates folder or simply somewhere in
your My Documents folder. Do not store it in the Program Folders tree.
