....want/requires the PC with Win ME the one with the ISP
account (so do I have to remove the programs and hardware
modem in the XP Media Center PC??? as in absolutely
necessary???)

So can someone give the details in setting it up??? Will
using the cross-over cable limit performance whatnot as
opposed to some other networking implementations (but I
don't know what those other implementations are)

I have seen at least a couple of Netgear devices with so-
called "dialup backup" (meaning they also work with
broadband..presuming I have an eye to the upgrade in the
future)...now, are these way more complex to setup &
config??? I'm intimidated by networking since it's all
foreign & Greek to me, but with good & detailed enough
instructions, I can tackle the project

Windows XP has a more reliable Internet Connection SHaring.

I recommend that you access the internet using this machine. Then run the network wizard and ensure that you connect the 2 PC with a crossover cable.

It will create a Network Setup Floppy Disk, take that and run it on the 2nd PC.
