Hang-up on "Windows is Shutting Down"

XP Home on laptop. On shut-down and restart, I get the
same problem....Goes through "logging off" page, goes
through "saving settings" page then locks on "Windows is
Shutting Down". Again, this happens on both shutdown and
restart commands. Have gone through MANY changes, with no
fix. Even did a format c: and re-load XP....still same
problem (have not re-loaded any of my programs...just XP
and Critical Security Updates). Any thoughts???
 
GOt 'em!!!

I've tried using tsshutdn (with both powerdown and reboot
sequences) and shutdown.exe......no luck.
