I have a rather large file on my W98 system that I would like to move to my
XP system, I have tried a file splitter utility which splits and put the file
back together fine on the W98 system but will not work on the XP system.
Could this be do to the file structure. as I am running NTFS on the XP
system. Any recommendations on the best way to move this file over.

Well - if it is on Windows 98, it is smaller than 4GB.
USB thumb drive? External USB/Firewire hard disk drive? DVD burner?
Network connection between the two?

I tried a program that is on my computer and it works on both formats. You
can split the file on Fat32 and join it on NTFS or vice versa. You don't even
need the program when you are joining files. All you need is Command prompt
which you already have.

The program is installed with Visual CD :

if it is a reasonable size, upload it to a filesharing site like Sendspace,
Yousendit, or rapidshare.de. They should be able to handle most large files.
I don't think you can upload a pirated dvd or anything that large though,
