Endless loopafter mobo change

I had XP on a machine for months with no prob... I
upgraded the mobo and processor from 450 mhz to 1.2 ghz,
but cannot get XP to boot now. It is in an "endless loop"
where it flashes an error for a splitsecond saying that a
problem has occurred and windows will be shut down...

If I put old mobo back, all is ok. Have also gotten third
replacement mobo with exact same problem.

How do I get XP back up with upgraded mobo?

an existing XP installation from one motherboard to another rarely works.
Some say its 50/50, I don't give it that good odds.
