Just looked at the Critical Updates for my WinXPsp3 and see the following.
What is it? Do I need to download it? It is 248 MB!!!!

I wouldn`t bother at the moment.
Untick it, come out of that window, then, tick
`Don`t remind me of this update...`.
Then close that window.

As new programs are developed, they might need Net 3.5.

#1- I don't see any place to un-tick it or to place in "don't remind of this
update."
Maybe becasue it is High Priority, it can't be un-ticked.

#2- P.S. I checked my WinXPsp3 notebook and Vista notebooks, and they
didn't have any Critical Updates. Why would my desktop have the Framework and
my WinXPsp3 and Vista notebooks have NO critical updates.

or if you have a program on your machine that requires .NET Framework 3.5 to
run properly most lkely that is why either Microsoft update or Auto Update
has offered it to you. Security vendors are migrating to 3.5, has your
Security software pushed a update to it's software recently?

I am guessing now it would take hours and hours.

It warned me this afternoon, and I decided not to bother
with it for now, and I did exactly as I suggested to you (below).

I noticed this on quite a few workstations today. My question was why
was it released now and not on Patch Tuesday?

OOOps, I didn't realize that you were using dial-up. In that
case, consider if you really need this and if not just hide it
in the download option. Otherwise, get someone with high-speed
internet to download it for you from the Windows Download
Center.

Yes, it's a *critical* update!
Do you have any idea of how long it will take to download 248 MB via dial-up?
No.

I am guessing now it would take hours and hours.

Don't guess, just download it!

Strange, the patches I've seen are 16.8 meg.

Or 14 minutes by high-speed internet. Get a friend with
high-speed to download it from the Microsoft Download Center.
There should be an executable there...check it out.
