critical update not compatable message - XP Professional

Automatic update indicates that Service Pack 1 is a critical update. Can not install, get error message that it is not compatable with my version of Windows (XP Professional). Ordered CD from Microsoft received SP1a CD. Get same error msg when try to load from CD.
Using Panda Titanium Antivirus. Not sure how to disable unless uninstall. Could this cause the error?
 
Verify that you have the correct language version, and Windows XP version.
Finaly, shutting down the Anti-Virus may in some cases help, since it may
prevent some necessary system files from being modified and/or accesed.

Could this cause the error?
 
Thanks Dark Xale. Did check the language and it is English. Was able to disable the anitvirus after disconnecting broadband connection. Tried again and files began to dowload/load from the CD then stopped and got the same error msg again that SP1 is not compatable with this version of Windows. OS is Windows XP Professional version 5.1 (Build 2600.xpclnt_qfe.021108-2107) Dell computer ordered and shipped from Dell in Jan 2002 with this OS installed per order
Any other ideas? Appreciate the suggestions
