Couple of suspicious processes... Windows related?

Looking at a couple processes popping up. Google and other search
engines come up with bubkis when I search for these, which leads me to
suspect some new spyware/malware... anyone come across these?
- prlycd.exe (command line is C:\windows\system32\prlycd.exe reg_run)
- iaxai.exe (command line is c:\documents and settings\all users\start
menu\programs\startup\iaxai.exe)

Multiple registry entries found for both... one under Search Assistant.

Any ideas?

These are randomly-named files and yes, they are suspicious. Go through
