Computer Restarts on shutdown

Nvidia Freal

I just set up a brand new Mother board and Amd 64 3000+
processor running windows xp pro. Every time i go to
shutdown its shutsdown all the way then automatically
restarts. Now ive checked the Knowledge data base, but i
do not have Roxio Easy Cd creator, and I had this problem
both before and after i updated bios. if anyone has any
ideas PLEASE HELP!!!!!
 
1) Go into the BIOS Setup program and turn ON "ACPI" or
APIC configuration mode.
2) Reinstall Windows XP.

If you have ACPI mode already on when Windows was first
installed, then go to the 'Power Options' Control Panel
applet and enable APM.

Whats APM?? there is no option for APM in the control
panel under power options

There are two settings In Power management in Bios for
ACPI S1(POS) which is the default and S3(str)

. thats all thats listed in BIOS so any more ideas???
