Can't delete files

Can someone please tell me why do I receive a message saying that "....it is
being used by another person or program....", every time I try to delete,
move or rename a SDATxxxx.exe file downloaded from NAI?
To resolve this, I’m using Process Explorer (Sysinternals) to close the
handle related to that file, open a DOS window and delete it from here.
Isn’t there any other solution?
I’m using Windows XP with SP2, and I’m the machine’s administrator, with
full permissions.

NAI - Network Advertising Initiative, correct?
These files when downloaded and activated use sharing with other applications.
Once activated they will not delete and give you the error. You can delete
them
using the Command prompt in DOS mode or using Safe Mode. You must be
careful when deleting them for it could cause other applications to crash.
 
Nope, I was talking about updating files from "Network Associates, Inc."
(McAfee).

FWIW you should only need to download the DAT files which are much
smaller, not SDAT files.
