Attempts to restart but cancels...repeatedly...only while conn. to internet.

I have a home computer running Win2k Adv Server (no other
computers connected). Computer specs. are: P4 2.4 Ghz,
512 MB Ram, 40 GB Harddrive, GeForce 4 TI 4600 128 MB Vid
Card. My ISP is Cable internet provider.

Now to the problem. This system has been running smoothly
for over 6 months, but yesterday after an online computer
game crashed in-game (this happens occasionally due to
bugs and perhaps extended play time/memory loss)...I
rebooted and something strange happened! The
<CTRL><ALT><DEL> (reboot)screen kept popping up for a few
seconds, then disappeared, then popped up
again...disappeared....repeatedly. I was able to open
task manager after rebooting in safe-mode (where I was
still getting the same thing happening) and each time it
happened, I noticed on the processess tab a
program "up116***.exe" (***don't remember exactly, I'm at
work now) appeared as the reboot screen appeared. I could
not end the process, and I could not cancel the reboot
screen to stop it either. As a hunch of a trojan being
present, I unplugged my ethernet cable from the cable
modem and wham...instant solution. The reboot screen
stopped popping up! After a while, I reconnected my
ethernet cable and got no symptoms of this problem.
Everything seemed to be working fine. I downloaded an
anti-virus program from McAfee (bought the downloaded
version from their website) and installed it.

After installing an Anti - Virus prog and removing a
trojan and several ad-ware progs, I was still having the
same problem on each reboot however. If I disconnect the
Ethernet cable, popups stop, plug back in..works fine.
But it starts on each reboot. Does anyone have a clue as
to what's going on or how to stop it from happening?
I had an idea that the up116*.exe might be a windows
update trying to complete or something, but I will wait to
hear from all you experts out there first!
