A strange terminating pop-up with Internet use

Folks,

We use a simple free dial-up for the kids to access the
Internet from time to time under our guidance, but ever
since the Dell Latitude (running Windows 2000) locked up
while downloading a game, the laptop now frequently pops
up an unusual screen that I cannot for the LIFE of me get
rid of. I just reformatted my HDD and reinstalled Win2k
for Dell (the CD that came w/the 'puter), but it STILL is
doing this!! This screen comes up sometimes in 30
seconds, sometimes in 30 minutes; HERE IS WHAT IT SAYS:

It is a grey box about 2"x4", with a red circle and
white "X" in the middle:

"INITIATED BY NT AUTHORITY\SYSTEM The system
process 'C:\winnt\system32\lsass.exe' terminated
unexpectantly with status code 128. The system will now
shut down and restart."

And it then counts down for 60 seconds. WHAT A PAIN IN
THE HIND QUARTERS!!! Can any of you PLEASE tell me how I
can disable this most - most - most annoying thing?????

a) Install a good virus scanner (e.g. Trend Internet Security)
b) Install a good firewall (e.g. Trend Internet Security)
c) Install an ad killer (e.g. AdAware)
