98 to xp

hey i posted before about installing xp and it crashing here is the main
problem:
The option to upgrade will not be available at this time because set up was
unable to locate the M:\W1386\WIN9XUPG.DLL then underneth:
a device attached to the system is not functioning.
its an upgrade cd. My computer is compatiable because i checked it on the
windows site. someone please help me.
