120 gb FAT32 h/d not recognzed by win2000

I have several 120 GB h/d's that are single-partitioned to FAT32 and
are used extensively as USB2 drives attached to a Windows 98SE system.
ONE of these drives is not recognzied by my Win2000 system (data
management reports that the drive is not a valid Windows format????).
This same drive works fine (agains, with the USB2 connection) on my
win98se systme, and all my other 120 gb h/s's work fine on both win98se
and win2000. I am perplsexed as to why win2000 won't recognize this
ONE PARTICULAR h/d. I have tried connecting as the "D" drive as well
as a USB2 drive on win2000, but it is not recognized by win2000 as a
vaild windows foramt. Is there any win2000 tool that will overcome
this problem? Since this h/d woks fine with my win98se system, I
really don't want to risk losing it with low-level formatting or such,
but, I would like to find out what exactly is win2000 encountering that
makes it not recognize a perfeclty good fat32 h/d. Thanks, littleberry
