XP SP1 Update - Access Denied

I have tried to install the downloaded update SP1 for
Windows XP on several occassions. Each time it downloads
starts installation, and the progress bar nears the end I
get a message 'Access Denied' and an OK button which then
uninstalls SP1 again. Virus software turned off so why is
it doing it?

Help most appreciated!
