Windows2003Updates folder never shows in ADSIEDIT

We have been trying to add a new windows 2003 server to a windows 2000
forest. I have run adprep /forestprep successfully. It appears that I have
also run domainprep successfully. however, dcpromo of the new box fails with
need to run domainprep first. I have run domainprep several times, and using
adsiedit i notice that i never see the Windows2003update folder. I have been
fighting with this for over a week and cannot find where the problem lies.
Here is the latest adprep log:

C:\WINNT\system32\debug\adprep\logs\20060227105827 directory.



Adprep copied file E:\I386\schema.ini from installation point to local
machine under directory C:\WINNT.

I found one read only policy folder in AD. Adjusted permissions, reran
domainprep-all is ok!
