windows xp setup freezes after the 1st reboot

Hi all,
I'm trying to upgrade win98(1st edition) to windows xp home edition,
everything is going well and it asks me to reboot. After that, it loads all
the driver but then the CD spins down and the system locks up. Even pressing
NUm Lock on the keyboard
does not change the light for Num Lock ON/OFF and i'm left with a black
screen with a white pointer. I tried to do a clean install after this problem
but it's just the same. So i searched on the site of microsoft and did all
the things they recommanded to do but nothing worked out. I even removed my
soundcard, replaced the memory,replaced the psu, removed 1cdrom and 1hd,
nothing worked.....

A year ago i've tried also to install win xp home edition and i've had the
same problem, so a friend of me said he knew somebody who could install it on
my pc, and he installed xp on my computer( I don't know how he fixed it,
don't know the person ). Recently my pc crashed ( hall32 problem or smth like
that ) and i had to reinstall everyting and i hoped to get the xp version
working ( it's not a copy or smth illegal ).

I hope somebody could help me cause i'm really desperate.

Do you have another Ram Module you could try? If not remove the Ram
from it's slot and move it to a different one. I would disconnect everything
but 1 hard drive and 1 cdrom. Bare Minimum. Go into the Bios and set it to
Fail Safe Defaults
or Optimal. Make sure you have Bios Antivirus disabled.

thx for the advice,
I've tried everything you said ( i disconnected almost everything network
adaptor,sound card, 1hd,1cdrom,floppy, even the mouse and the processor
cooler; i putted theram module in another slot ) it's still the same.
Could it be that my motherboard needs to be flashed/updated or is there any
possibility my cd is damaged a little bit to much ( win xp home ver.2002 )

You could try a Win98SE super bootdisk. Go here www.bootdisk.com and
download and create a boot floppy.
Go into the Bios and set the floppy as first boot device. Insert the
disk and startup. At the A:\ type: fdisk /mbr
Remove floppy and restart. Go back into the Bios and set the cdrom
as first boot device. Insert the WinXP CD and
bootup with it. Do a new clean install. If it's an Upgrade CD then
you will need the Win98 CD to prove a existing OS

drive manufacturers website and download a
diagnostic utility to check drive condition.

If your WinXP CD is an OEM version and not a Upgrade or Full Retail
you cannot upgrade with it.
