windows xp installation! missing dll?

hi guys!

when loading windows xp from operating system installation cd i receive the
following message:

the option to upgrade will not be available at this time because setup was
unable to load the file D:\i386\WINNTUPG\NETUPGRD.DLL
the system can not find the specified file.

the only option is new installation.

any help would be greatly appreciated.

Two more pieces of information would help. Which type of disk are
you using ( OEM or Retail ) ?. Also which Operating System is on
your PC currently. Has this disk been Slipstreamed to a Service Pack
level.

Did you Explore/Navigate to the disk and verify the content the msg
indicated was missing ?

sorry what does OEM stand for?

my current operating system is windows xp professional. version 2002.
service pack one.

i explored the installation cd and can not find the file.

what would you advise i do now?

OEM stands for Original Equipment Manufacturer. It is an alternate form
of XP install disks designed for PC makers like Dell, Gateway. They differ
from Retail disks in the fact they can only be used to install cleanly.
OEM disks are less expensive because the OEM is responsible for all of
the product support - Not Microsoft.
Small Computer businesses can purchase these disks and modify them to
meet their own needs. (Drivers, Setup & the like). These OEM disks come
with the Microsoft Holographic facing and should have a small sticker (COA)
Certificate of Authenticity to be placed on the finished computer.
