windows fails to shut down or restart

I keep getting this error message when I try to shut down
or restart 'STOP: 0X0000009F
(0X00000002,OX85DD46E0,0X85DD7630,0X0000000)'
I think its a problem with my connexant modem as the pc
shuts down fine when unistalled . I've tried uninstalling
the modem and drivers but still the same.I've tried the
Microsoft Knowledge Base but no joy. Microsoft says I've
got the most up to date driver for connexant.
Can anyone help me out
