Visual Studio.net

We would like to develop applications for Windows CE.NET
version 4.10 and we are now using Visual Studio.NET.
a)Will this be problem?
b)We have heard that we may need the VS.NET 2003 version,
is this true?

Yes, you need Visual Studio 2003 to develop for CE 4.1.

I am using VS.NET 2003.

You are going to have a lot of fun. The problem is not with VS.NET, however.
Most of the problems are going to be with replication via SQL Server and
IIS.
