visual studio 2005 installation

I am trying to install visual studio 2005 on my by, allways i am getting
error message,
Error 1304.Error, writing to file C:\Program files\Microsoft visual studio
8\common7\tools\spyxx.exe verify that you have access to that directory

Which OS? Vista?
Have u tried to chech whether your really has access to that directory?
