I running XP Pro SP1 and have just purchased Ultimate X64 full version, and
want to do an upgrade so hat i dont loose and have to reinstall all my
installed software.

I have purchased a full version of Vista Ultimate X64, does this have the
option to perform an upgrade install, or should i have purchased an upgrade
version of it instead ??

A full retail version is capable of doing both upgrade and clean install. I
take it the machine you are upgrading is a 64bit machine and not a 32bit? 64
bit software will not run on a 32 bit machine. I ask because you say you are
running XP Pro SP1.

You cannot do an inplace upgrade from any 32 bit operating system to a 64
bit one. You will have to do a clean install.
