Used PC software ownership/registration questions

I have a new, unused Windows XP Home Full Edition CD,retail not OEM, I bought
a year or so ago from Microsoft as a potential replacement if needed.
I'm thinking of using it now, if I can find another Acer TM-230 laptop to
load it on,
since my TM-230 LCD display plastic case hinge cover assembly is cracking
from years of use. It appears to be difficult to find replacement parts like
this.
I hate to toss the old working unit. But,I've learned that I can't take the
HD out of it and put it in another like model PC,due to XP OEM License
restrictions tied to Acer.
Other than loading my new XP Home Ed. on a replacement laptop, are there any
other MS,Acer,or other PC software license issues or problems that I need to
be aware of? Is the software used on a PC licensed as much or more with the
PC it's loaded on, as with the PC owner? Or,just the MS Windows operating
system software? Since I'm looking to buy a used laptop PC,what, if
any,restrictions are there for software/hardware user/owner licensing
registration. Does it go with the PC? Considering moving programs from old PC
to replacement unit. Is that OK?
Meanwhile,I'm looking for another new laptop,maybe with Vista for the short
term,
and then Windows 7.

Any OEM software, eg Win or Office is only licencensed to the origonal PC it
was supplied with.
A user can sell a PC and provided they supply the disks & any COA its all
transfered to the new owner.
Its not a wise move to purchase any used PC that doesnt have the cd's

Generally, you can only transfer retail purchased software to a new PC by
uninstalling on the old and reinstalling on the new.
If you purchase a new PC with Vista preinstalled, depending on your country,
you will have the option to 'upgrade' to Win7 - free or at a reduced rate,
for a specific period of time.
