Trying to load MSDE for Embedded XP

The message I receive is the following:

Microsoft SQL Server Desktop Engine--A strong SA password
is required for security resons. Please use SAPWD switch
to supply the same.

I down loaded the XP Embedded kit from Microsoft but I'm
having problems with the database.

Before you invest a lot of time with MSDE, make sure that installing or
disturbing the database does not violate your EULA

EULA item # 12 "COMPANY may not distribute in any
manner, or include in the image: (a) the Microsoft Data Engine or (b) the
'setup.exe' file contained in the SQLMSDE folder."

I posted this a question about running a database on the NG a few days ago
and I am still waiting for MS to give me an answer.
