retail vs. OEM xp

Is it correct that:

1. XP (Home), purchased as a retail upgrade to OEM w98.2, is considered OEM
XP?

2. Therefore replacing key components (motherboard), while retaining others
(hard drive, etc.) requires a new XP OEM license for the new components?

Huh? How could installing a retail upgrade license over an
earlier OEM OS convert the retail license to an OEM license? What
paragraph of the EULA states this?

No. And that would be too simplistic anyway - read up at

No, if you purchase a Retail XP Home Upgrade Version it doesnt matter
what the upgraded OS is.
You will not require another license if you replace key components,
however you will be required to
reactivate it.
