This is a pretty broad, open ended road type of question, but a lot depends
on if there are other existing win2k dc's in the domain already or if this
is the only one. If the only one, then you're basically going to need to
rebuild everything from scratch.
If there are others, when this machine is demoted (if it will demote) then
it should pass on any fsmo roles it has to the other dc/s automatically.
You'll need to install and/or configure dns on another server and point
everybody to that machine if this box was the only dns server there.
Licensing should already be replicated to another dc, but you'll also need
to install dhcp on another server and then set up your scopes again like you
have them now on this box.
