problem with setup plz help

When I tried to install windows xp "as new installation" on my machine I get this message after choosing the drive to install the system on witch is "d:" say's "setup has determined that drive c: is corrupted and cannot be repaired", I made a scandisk on drive c: and it had some bad sectors but it works perfectly with my windows 98se, so is there any way to install windows xp on my machine
Processor is 1400 MHz
H.d.d is 80 GB drive c: is 3 GB d: is 5 GB.

Apparently, you acquired an "OEM Version" of Windows XP.
OEM versions cannot upgrade an existing Windows installation. Only
"retail versions" can upgrade. Either purchase a retail version of Windows XP
or reformat your drive to install the OEM version "clean".
