Outlook not shutting down in background

I have posted this question a few times with out any
sucess but here I try again.

When I closeout outlook then try and shut the computer
down it tells me it is having trouble shutting outlook
down and it gives me a choice to "end now" but that
doesn't even help. The only thing that I can do is shut
the computer off. Or I go into processes and it shows
outlook still running in the back ground then I end the
task that way in order to shut the computer down. This
only started a few weeks a go and they only thing that I
do is instal any windows updates or virus updates. I have
tried reinstalling office and xp with out any sucess. Any
suggestions?

Do you have any of the following installed on your computer:

1. PDA synchronizing software
2. Fax software - especially WinFax Pro
3. Franklin Covey Plan Plus!
4. An anti-virus program set to scan mail in Outlook
5. Any other software that hooks into Outlook to run?

FYI I had the same problem until I completely uninstalled WinFaxPro 10.0.
I'll decide later about re installing once I've stabalized OL2003, which now
has 100% cpu usage problems after any use of the email function
