MY WINDOWS ROOT/SYSTEM32\HAL.DLL. IS MISSING

I have a new windows xp software package that I want to
install and start fresh with. Am running xp now but
opperating system not working right at all. What do I
need
to do to "start fresh" but save some of my programs and
files? JUst install it?

You don't need to re-install. Boot from the Windows XP CD ROM and select to
repair an installation with Recovery Console. The admin password is usually
empty. When at the prompt type this:
bootcfg /Rebuild

Now try rebooting.
If you get more error messages try typing these:
fixboot
fixmbr
