You have DotNet Framework 2.0 installed and the update KB928365 is
installed. You do not have the same issue as the OP (Donna) therefore no
action is necessary at this time.
As for your urgent concern, you should run spyware scans such as AVG
Anti-spyware, Spybot S&D or even HijackThis if necessary. Whatever you do do
not post HijackThis logs in this NG.

According to the post in another group , here are the full instructions to
correct this problem:

First, check that your version of Windows Installer is 3.1.4000.4039 by
typing at the Start menu Run "%systemroot%\system32" and then select the
file "msi.dll" . Under File|"properties" for this file you can see the
version number. In case it is not 3.1.4000.4039, then first install security
update KB927891 : http://support.microsoft.com/kb/927891 . (That is the link
I gave in a previous post quoted above but I incorrectly said it was to
reinstall Windows Installer.)
Now you need not the Windows Installer Cleanup that I already told you to
download but a special deinstallation tool :

Download and run the uninstall cleanup program.
Next, reinstall DotNet Framework 1.1 sp1 :

Restart Windows XP.
Download the update KB928366 which you are trying to install :

Windows Installer Cleanup did not help. My system had Windows ME. I updated
to Windows XP with disk from Dell. I have been told that Windows ME has an
error in it.

I have a similar problem. I tried following these steps, but an entry for
Framework 1.1 remains in my Control Panel-->Add or Remove Programs. When I
try to remove it, I get the message "This action is only valid for products
that are currently installed". I also tried running the Windows Install
Cleanup utility to remove it, but Framework 1.1 does not show up the cleanup
list.

Can anyone help me? Also, if I ever manage to remove the Framework 1.1, can
I just install Framework 2.0 instead?

See my response at the bottom of this post.Ok, it seems that your uninstall of .Net Framework 1.1 either was not
successful or left an orphan entry in Add/Remove Programs. Please make sure
that your antivirus program is turned off before attempting to repair the
de/reinstallation of .Net Framework 1.0/1.1 and install the needed update
kb928366. The instructions given by Mr. Shehan are perfect,
but I would add this step : first check that you have the latest version of
Windows Installer. In order to check that your version of Windows Installer
is 3.1.4000.4039 on the Start menu select Run and type
"%systemroot%\system32", navigate to the file "msi.dll" . Under
File|"properties" for this file you can see the
version number. In case it is not 3.1.4000.4039, then first install security
update KB927891 : http://support.microsoft.com/kb/927891 . That will update
your Windows Installer. You can check the version number after the update to
verify if necessary.
Now follow the instructions given above again, keeping your antivirus
disabled.
To answer your last question, you must successfully install .Net Framework
1.0/1.1 before installing .Net Framework 2.0/3.0 . There is no getting
around the de/reinstallation steps mentioned above.
If the deinstaller utility has already worked and you have an orphaned entry
in Add/Remove Programs, you may get an error when running the deinstaller
again. In this case, just proceed to reinstall as per the above instructions
which should work, restarting as necessary as mentioned.
