This is a driver problem. So, go search for recent driver updates.

I had that problem with a fresh XP install.
After chasing drivers, reinstalling repeatedly, swapping out hardware and
pulling my hair out; I accidentally used a different CD to instal from.
Never had another problem.
The Genuine MS Retail CD was defective! At least the key worked.
