The set-up is as follows:

IMHO, the best way would be to dump the USB modem and replace it with a
10-Base-T modem, add a router, and you're done.

Given what you have, though, you might try connecting the USB Modem to
the XP machine and connect the Win98 machine to the WinXP machine using
a cross-cable on the 10-Base-T ports. Internet Connection Sharing
(ICS) would then have to be set up on the XP machine (I'm not sure
whether ICS works with USB networks). If it works, the disadvantage is
that the XP machine must be up and running for the 98 machine to
connect.

Assuming you don't wish to purcahse a hardware router the best way would
be to:
1) Connect the USB modem to the Windows XP computer
2) Network the PC's - 10/100 Network card in each with a crossover RJ45
cable between them
3) Enable ICS in Windows XP - Control Panel, Network Connections, Right
click the Internet Connection, Properties, Advanced, [Tick] Share this
Internet Connection.
4) Set the Win 98 computer to obtain an IP address automatically. Right
click Network Neighbourhoos, properties, single click TCP/IP Protocol
and click properties then [tick] obtain automatically on all options.
5) Reboot Win98 machine.
6) Enjoy.

Let me know if you have any issues/questions

I would get an ethernet adsl modem and a router.
Just plug and play.

You will also need a firewall on each PC or a firewall on a dedicated PC
with two network cards between the modem and router.
