I just received a server that looks to be in pretty good shape and would like
to start using it. However, I don't want to use the Back Office Server
software that is on there.

The server runs 2 hard drives, one 4GB and one 40GB. Dual Pentium 3 450MHz
processors and about 2GB of memory.

Here are my questions:

1. Can I upgrade the processors to run faster P3 processors, say 866MHz or
1GHz?
2. Can I use this server to run Windows Small Business Server 2003 and
Exchange on top of that?

What motherboard?

Very likely. but you might be happier with the performance you'd get from
one of the Win2K server versions.
