Perhaps unregistering it will unlock it?
regsvr32 /u urlmon.dll

Otherwise, you can use inuse.exe to replace the file on reboot.

I don't recommend it unless you're really sure you know what you're
doing...that's a core IE and OS DLL...

Why do you need to replace the file?
