How to Instal XP over Win 2000?

I got a used Laptop from our company. It has Win 2000 with
LAN and Co. software for corporate needs. I wish
to "upgrade" to XP. I have Win XP Home Edition Upgrade
Version 2002.

I do not have a Win2000 disk since IT people kept or
install via LAN.

Can I just erase a lot of the company software, leaving
win 2000 and then upgrade to Win XP?

One cannot upgrade an existing Windows 2000 installation with
Windows XP Home Edition.....this is not supported. Only by using
Windows XP Professional can you upgrade over Windows 2000.
You'll have to perform a "clean install" if you wish to use XP Home.
