error loading xp onto new system

I have just finished building a new computer and I cant
get xp tp load onto it.
its a amd athalon xp 2800 and 512 ddr pc3200, a 40gb
maxtor hard drive and a geforce4 mx440 128mb graphics
card, thats all thats installed besides the cd-rom.
the error i get when i try to load xp is this:
after checking and initializing the basic drivers it says
loading windows, then i get the blue screen of death
stating: session3_initialization_failed
*** stop: 0x0000006f (0xc00000020, 0x00000000 0x000000000
0x00000000)
Ive followed the instructions that screen game me as best
i could, the system is stripped to the bare bones needed
to start and i made sure bios and ram caching are off.
Anyone have any suggestions?

Make sure that BIOS settings are correct for each and every item installed.
This includes any in-built items, such as Modem, Ethernet NIC, AGP Adapter.

Also make sure all your hardware is properly connected. Each cable corretly
placed and edge connectors securely and firmly pushed in.

AGP cards which are 'offset' tend to cause problems only at Windows level
and not at BIOS level. Unplug and reinsert your AGP card.

Make sure that the CD and Hard drive are jumpered as Master and located on
separate IDE cables and plugged into separate IDE controllers [most Mobos
have at least 2].

If you have 2 x 256 Mb memory modules, unplug one and try with just the
other - then swap over if problem persisits. The modules should be 100%
identical, right down to the card and chips.

If you still have problems, go to the shop where you bought some of the
items and pay them to help you. This may save you damaging any hardware.
