btw, the boot disk that I am trying to use was done by
formatting option from winxp
(create an ms-dos startup disk)
could the disk be the problem?
(ie: fdisk , format, format/ s commands do not work}
the only command that works is DIR, which lists the files
on the boot disk.

No.

Of course. There is _only_ the Floppy drive.

So you want a floppy to boot XP if it doesn't start?

Follow these directions:
Create a Boot Disk for an NTFS or FAT Partition in Windows XP http://support.microsoft.com/default.aspx?scid=kb;EN-US;q305595 and

Use System Files to Create a Boot Disk to Guard Against Being Unable to Start Windows XP http://support.microsoft.com/default.aspx?scid=kb;EN-US;q314079

You might be best off posting a question. I doubt somebody is still watching
an old thread of theirs from January.

If the question is exactly as subject line -
a Boot disk (should) contain the basic system files and a generic CD driver
which will load up system files to get to a DOS prompt -
a Start-up disk does similar but will also START whatever program it's the
"start-up" disk for ...
Boot disk - use for diagnostics, installing a replacement HDD
Start-up disk - self-evident.
