First, do the usual Windows troubleshooting:

1) Scan with current antivirus ("current" means a version not earlier
than 2002 but using updated virus definitions); 2) remove spyware with
Spybot Search & Destroy (www.security.kolla.de) and Ad-aware
(www.lavasoftusa.com). Be sure to update these programs before running,
and it is a good idea to do virus/spyware scans in Safe Mode.

Also check to see what other programs you have that may be trying to
check for updates, such as Real Player, Quicktime, etc. After you know
your machine is virus and spyware-free, if the problem persists please
repost. Include information about your system, how you connect to the
Internet (method and ISP), and what you've already done to
troubleshoot.

If you have Outlook or Outlook Express or another mail program running, it
may be trying to check for mail. Disable this feature in the program
options.

A program or spyware might initializing the dial-up connection.

SpyBot S&D searches your harddisk for Spyware and Adware

* Perform a Webupdate to have the latest definitions installed *

To disable automatic dial completely (means no program can automatically dial, however you can do manually.)

1. Right click the My computer icon (Desktop), open Manage/Services and Applications/Services.
2. In the right pane scroll down to Remote Accces Auto Connection Manager and double click it.
3. Use the Startup type drop box and choose Disabled.
