cmd.exe application error when exec command prompt and .bat files

Whenever i try to execute a ms-dos batch file or the
command prompt, i get the following error:
title: cmd.exe application error

the application failed to initialize properly
(0xc0000142). click OK to terminate the application.

What does a scan with a current (post-2002 version using updated
definitions) antivirus program show?

Yeah, i have norton anti-virus 2003 and it updates itself
one in a while so i think it's current. I scanned my
computer and there were no infected files.
