Can't upgrade to XP...Help!

I am trying to upgrade to XP from Win98 and get an error
and failure to complete the install. First I get blue
screen error.." Fatal Exception 06 at 0028:00000017"
then an XP error window..."Upgrade pack DVD Movie Player
Failed to Initialize 9x error. Code 998 Setup cannot
process thsi pack". I tried a clean boot install...same
problem at the same point in the setup routine. What's the
problem?? Can any help?? Thanks.
