can't join a NT4 server to Win2k/FSMO

Greetings,

I have joined a Win2k server to my production environment
and kicked on AD- name= "Win2k3".

the first server with all FSMO rules, etc., basically the
first AD server in the production environment, is
named "Boss"

i pull "Win2k3" off the production environment and make it
the 1st server in my test environment. it has a static IP
of 10.1.1.166 and a gateway of 10.1.1.1. has DNS
functioning. in AD/Operations manager i changed the PDC
emulator from "Boss" to "Win2k3"- all other FSMO rules are
still "Boss"

with a crossover cable, or a hub (tried both to rule out
bad cable or hub) i am going through the server setup for
NT 4, trying to attach the server as BDC, named "Exch55",
have static IP of 10.1.1.33/gateway of 10.1.1.1

Problem:
when providing the credentials during setup to attach the
nt4 server to the domain, i get the error "domain
controller cannot be found", like "Win2k3" is still saying
the schema master is "Boss" and not itself.

How can i attach this nt4 server to the domain correctly?
How can i make "Win2k3" the schema master for my test
environment and attach a NT4 server to it? Is it because
in AD>Users and Computers>Domain Controllers there is
already a entry for "Exch55" (from the original production
environment)

I hope this wasn't too much of a confusing mess. i have
to build a test environment for our exchange55/nt4sp6 to
exch2k3/win2k3 upgrade.

any advice or correspondance is greatly appreciated!

followup:

i can join other win2k servers to this domain without
problems. so Win2k IS acting as the domain controller.

i am only having a problem joining an NT4 BDC during setup
to the domain- still get error "no domain controller can
be contacted"

I think, the only thing you can do with an NT4 BDC is to promote it to PDC,
when isolated from it's domain.
As PDC you can upgrade it to W2K or W2K3 and join the forest as a child
domain.
Or you upgrade creating a new forest and demote to standalone server, which
then can join any domain.
