Obviously, the Vista Home Premium has the SP1 preinstalled, as you say it is
nearly brand new computer.

As ithe SP1 preinstalled, you can not uninstall it.

You will have to return the Ultimate upgrade(non SP1) disk to the vendor,
and exchange it for a Vista Ultimate SP1 upgrade disk.

You use it to do a CLEAN install (yes!).

How?

Install it but do NOT put in the key. You will end up with an
installation that can't be activated, but it will be good for 30
days..

If you install any updates, make sure you don't install SP1. I'd wait
until the next step before I'd do any updates:

After verifying it's running OK, use the disk just as you would to do
an upgrade. Run the upgrade from within Windows.

I need to do an upgrade, I do not want to reinstall the other software and
have to load the backed up data across, it does not seem right, I paid for
my disk and want to use it for it's purpose, this is not a difficult
concept.

Hi Mick

I guess this might fly under fit for purpose legislation.

It lists Ultimate Premium as a candiate for upgrade and is not doing it.

You're missing the point. You have an installation that includes Service
Pack 1. Your upgrade DVD is older and doesn't include Service Pack 1. You
can't upgrade a Service Pack 1 system with a non-Service Pack 1 upgrade
disk.

Do as Mick suggested and return the upgrade for one that includes Service
Pack 1 and then you'll be able to upgrade your computer. Make sure you back
up your data before the upgrade because Stuff Can Happen.

Uninstalling SP1, doing the upgrade to Ultimate, and then installing
SP1 should work, should it not?

Not if the OP's installation came with SP1 already integrated into the
operating system. Since he said, "I have a new PC with Home Premium SP1"
that is the inference.
