Don't know that a utility like this is necessary. The MS Knowledge Base
details how to disable Windows Messenger ( KB302089 )

For my computer, it was simply a matter of making a registry key:
HKEY_LOCAL_MACHINE\Software\Policies\Microsoft\Messenger\Client
with PreventRun=1 as DWORD value.

Even easier for those who don't like to mess with the registry, just rename
the .exe file from msmsgs to xmsmsgs or whatever.
It worked a treat for me.
(Some clever sod will prolly ask "What, you mean rename it to whatever.exe?
lol")

Will this fix leave MSN Messenger alone?

Ad-Aware also has a plugin that will allow you to close it or open it again.
