XP upgrade or full?

I'm sure there is something I'm missing here, BUT.... I
plan to install XP on a second computer at home. My
primary computer has XP but it's an OEM version that does
not allow me to purchase a second license. SO, I'm off to
buy a copy of XP... My question is... A "full install"
version is $199.00 while an "upgrade" version is only $99.
What (if anything) will I miss out on if I buy the upgrade?
For a $100. difference there must be someething I'm
missing.. Who would pay the extra $100. ?? and, why?
 
Do you have the qualifying media for an upgrade?

sure,I have '98 and also ME.. doesn't everyone? LOL.
seriously though, will i get the same for $99 as for $199 ?
 
Purchase upgrade version and perform a 'clean' install.
