If the Windows ME was not an OEM that CAME WITH the original computer and
both the Windows ME and Windows XP Home editions have been removed from the
old computer - then yes - no problem.

The first consideration is that your license entitles you to have it
installed on a single computer at one time. You may put it on the second
computer only if you take it off the first.

No. The requirement to use an upgrade version is to *own* a previous
qualifying version's installation CD, not to have it installed. When setup
doesn't find a previous qualifying version installed, it will prompt you to
insert its CD as proof of ownership. Just insert the previous version's CD,
and follow the prompts. Everything proceeds quite normally and quite
legitimately.

Is my name familiar to you? You're not by any chance the Ganesh I used to
know, are you?
