XP Shutdown or Restart

Windows Xp:When I shutdown or restart these window come up and need to be
closed before I can go on with the shutdow or restart.
USRprbda.exe, drwatson.exe, & drwtsn32.exe.Each window has this message in
it:The Application failed to initialize because the window station is
shutting down.
How do I stop this from happing?
I have sp2 and all the lastest updates.

That file is associated with a USR Robotics Modem. You might try
uninstalling the driver and installing the latest one from the
manufacturer's web site.
